The questions people ask too late

When you negotiate an offer, you talk about price, timing and features. What you'll actually hold in your hands once the project is over hardly comes up. That's understandable. You're building a relationship, these questions sound hostile, and so they get put off.

Then they become urgent at the worst possible moment. When you want to change supplier, when an investor runs due diligence before a funding round, when another team needs to work on part of the system. By then you aren't negotiating any more, you're finding out how things stand.

There are five questions. They take ten minutes, and a serious supplier already has the answers ready.

1. Who owns the source code

Ask it in exactly these words: who owns the code that gets developed, and from when? There are several possible answers, all legitimate, as long as they're in writing.

The code can be transferred to you in full once the final invoice is paid. It can stay with the supplier and be licensed to you for use. Or it can be mixed, with the custom work transferred to you and the components the supplier reuses across clients kept under licence.

The mixed arrangement is the most common and there's nothing wrong with it, but it has to be written down. Which parts are licensed, what happens to that licence if the relationship ends, whether it stays valid even if the supplier closes down. A generic sentence like "the software is the property of the client", which doesn't separate these cases, protects you very little, because it doesn't describe how the software is actually built.

2. Where the code lives, and who can get it

Owning something on paper is not much use if you can't get to it. The code should sit in a repository registered to your organisation, and at least one of your own people should have admin rights.

It sounds like a formality. It isn't. Knowing the code is yours and being able to open it today, without asking anyone, are two very different things on the day a relationship ends badly.

The same goes for a minimum of documentation: how to build it, how to deploy it to production, which configuration variables it needs. Without that, a repository handed over to you is still a sealed box.

3. Whose name the accounts are in

Ask for a list of every service the product runs on, meaning hosting, database, transactional email, payments, third-party services and the domain. For each one, ask whose name the contract is in and who holds the main account.

The right setup is simple. The accounts belong to your company, and the supplier gets in with its own logins, which you can revoke. The opposite happens a lot: everything registered to the supplier and you nowhere to be seen. It's usually convenience rather than bad faith, but the only way out is to rebuild.

Put the domain on the list too. It's the easiest thing to forget and the most annoying to get back.

4. What happens to the data

Everyone takes it for granted that the data the system collects is yours. The practical question is how quickly, and in what format, you can take it with you.

A good answer includes a way to export it in a readable format, a copy of the database or structured files, without having to commission a special feature and without surprise costs. If instead the only route is an extraction prepared by the supplier, ask how much it costs and how many days it takes. Better to know upfront.

If the system handles personal data, each side's responsibilities also have to be put in writing. Don't put it off as just another bit of paperwork, because it sets out who answers for what if something goes wrong. Agree it with whoever looks after data protection in your company.

5. What you depend on without knowing it

All software rests on things other people built: libraries, external services, platforms. That's normal, and it's the reason building costs less today than it did ten years ago. Still, two questions are worth asking.

The first is about lock-in. There might be an external service whose price grows with usage, or a platform the product can't be separated from without rewriting it. That isn't necessarily a problem, but it should be your choice, made knowingly, and not a surprise.

The second is about the licences of open source components. Nearly all of them can be used freely in a commercial product. A minority come with conditions that can matter, for example in a sale or a funding round. A careful supplier keeps a list of what it has used, and asking for it is entirely reasonable.

How to put it in writing without starting a fight

None of this needs a complicated contract. One page in plain language is enough, saying who owns what, where it lives, who has access and how you leave.

Present it for what it is. You aren't defending yourself against the supplier. You're setting things up so the relationship lasts because it works for both of you, and not because nobody can get out of it. A partner who wants to stay your technical point of reference for years has no interest in tying you down. They want you to stay because working together works.

And the way they react to these five questions is already half the evaluation.

Frequently asked questions

Does the code of custom software belong to the client or the supplier?

It depends on what the contract says. The code can be transferred in full to the client once the final invoice is paid, licensed for use, or split between custom work that is transferred and reusable components that stay under licence. What matters is that the contract states it explicitly.

What should I check in a contract with a software house before signing?

Who owns the source code, where it lives and who can access it, whose name the service accounts are in, how the data can be exported and which external dependencies the product relies on. Ten minutes of questions and one page in plain language are enough.

How can I get my data back if I change software supplier?

There has to be a way to export it in a readable format, such as a copy of the database or structured files, without special development and without surprise costs. If the only route is an extraction done by the supplier, find out beforehand how much it costs and how many days it takes.
